You agree to indemnify, defend and hold harmless Review Scout, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use ReviewScout.org, any user reviews submitted by you, your violation of any terms of this agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. At our own cost, we reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Review Scout in asserting any available defenses.
If an issue related to any part of these Terms and Conditions arises between a user and Review Scout, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, and we are not able to resolve it amongst ourselves, then it will be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act. The arbitration will be conducted in Los Angeles, California, by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service that Review Scout selects.
Whatever the arbitrator decides, and awards shall be final, and judgment may be entered upon it in any court having jurisdiction. If any legal issues or arbitration arises out of or concerns these Terms and Conditions, whoever wins the legal matter will be entitled to recover its costs and reasonable attorney’s fees. No matter what the issue that arises related to the Terms and Conditions, Review Scout, and the other party agree to arbitrate all disputes and claims. You, the user, and Review Scout both agree that the Federal Arbitration Act governs the interpretation and enforcement of this section of our Terms. All aspects of the dispute, including any parts regarding the enforceability of this arbitration clause, shall be determined by the Arbitrator. In the event the Terms found here terminate, this arbitration provision will continue to survive.
Class Action Waiver
Sorry, but the upcoming Terms are in legal language. We tried to make it simpler, but the folks in the nicely pressed suits told us that we couldn’t get around these upcoming terms.
Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Review Scout agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

At any time of our choosing, we can terminate your access to the Review Scout or any part of the site, without giving you notice. The sunshine state of California govern the laws of this agreement to the maximum extent permitted by law, and you agree that California will be the exclusive jurisdiction and venue of courts in all disputes arising out of or relating to the use of reviewscout.org. You are not authorized to use this site anywhere that does not allow for all provision of the Terms of our Site, including, without limitation, this section.
We like you, but we must agree that no joint venture, partnership, employment, or agency relationship exists between you and Review Scout as a result of this agreement or use of the Site. We run this site and adhere to the terms of the agreement subject to existing laws and legal process. Nothing in this agreement is giving us any exemption from complying with governmental, court, and law enforcement requests or requirements relating to your use of the Site. That includes information provided to or gathered by us concerning your use of our Site. If it is found that any part of this agreement is invalid or can’t be enforced according to applicable law, then that section will be replaced by a provision that will match the intent of the original provision as close as possible and the rest of the agreement will remain in effect.
Unless we have noted it elsewhere in these Terms, this agreement related to the Site is the entire kit-and-caboodle, the whole enchilada, the be-all-and-end-and-end-and-end-and-end-all this entire agreement between you the user and us Review Scout. And this agreement supersedes all prior or existing, whether communicated via electronic, oral, or written, between the user and Review Scout regarding this Site. A printed version of this agreement or any electronic communication can be submitted in court during any legal or procedural manner. That printed document must be treated just like you would any other legal or business document one would typically print and file. You are acknowledging that this agreement and all related documents must be written in English.
Changes to Terms
We have the right at any time, in our sole discretion, to change the Terms under which this ReviewScout.org is offered. Whatever is the newest version of our Terms will supersede all previous versions. Review Scout encourages you to review the Terms periodically to stay informed of our updates.
